Terms of Use

These Terms of Use ("Terms") govern your use of www.frontiercapital.us, our online application, and our client portal at app.frontiercapital.us (together, the "Services"), operated by Frontier Capital Partners LLC ("Frontier Capital," "we," "us," or "our"). By using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.

1. Who May Use the Services

The Services are for businesses and their owners and authorized representatives. You must be at least 18 years old and able to enter into binding contracts. If you use the Services for a business, you represent that you are authorized to act for that business. The Services are not offered for personal, family, or household purposes.

2. No Offer or Commitment

Information on the Site, including descriptions of funding ranges, timelines, or requirements, is general information only. It is not an offer, approval, or commitment to provide funding. Any funding is subject to our review and to a separate written funding agreement signed by you and us. If these Terms conflict with a signed funding agreement, the funding agreement controls for the matters it covers.

3. Your Application and Information

When you submit an application or information through the Services, you agree that:

• The information you provide is true, accurate, current, and complete, and you will update it if it changes
• You are authorized to provide it, including information about the business and its owners
• You authorize us to verify it, including by obtaining credit and business-verification reports and by reviewing documents and bank account data you choose to share, as described in our Privacy Policy

Providing false or misleading information may result in denial of an application or other action permitted by law or by your agreement.

4. Accounts and Security

You are responsible for keeping your sign-in credentials and verification codes confidential and for activity under your account. Notify us promptly at info@frontiercapitalpartners.us if you suspect unauthorized use. We may suspend access to protect the security of the Services.

5. Bank Connections

If you choose to connect a bank account, the connection is provided through Plaid Inc. and is also subject to Plaid's terms and privacy policy. You may disconnect at any time, subject to any obligations in your funding agreement.

6. Electronic Communications and Signatures

By using the Services, you consent to receive communications, notices, disclosures, and documents from us electronically, including by email and through the Client Portal, in accordance with the Electronic Signatures in Global and National Commerce Act (E-SIGN Act). You agree that electronic signatures and records have the same effect as handwritten signatures and paper records. You may request a paper copy of a document, or withdraw consent to electronic communications, by emailing info@frontiercapitalpartners.us; withdrawing consent may limit your ability to use the Services. To access electronic communications, you need a device with internet access, a current web browser, a valid email address, and software that can open PDF files.

7. Text Messages

Text messages are optional. If you opt in, our text messages are governed by our SMS Messaging Terms, which describe the program, message frequency, costs, and how to opt out. Message and data rates may apply. Reply STOP to cancel. Reply HELP for help. Consent to receive text messages is not a condition of obtaining funding or any other service.

8. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose or to submit information you are not authorized to share
• Impersonate any person or business
• Attempt to gain unauthorized access to the Services, other accounts, or our systems
• Interfere with the operation or security of the Services, or upload malicious code
• Scrape, copy, or collect data from the Services by automated means without our written permission

9. Intellectual Property

The Services and their content, including text, graphics, logos, and software, are owned by Frontier Capital or its licensors and are protected by intellectual property laws. You may view and use the Services for your own business purposes in connection with your relationship with us. You may not copy, modify, distribute, or create derivative works without our written permission. "Frontier Capital" and related names and logos are our marks.

10. Third-Party Services

The Services may link to or rely on third-party services, such as Plaid. We are not responsible for third-party services, and your use of them is subject to their own terms.

11. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. Content on the Site is not legal, tax, or financial advice.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, FRONTIER CAPITAL AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR DATA, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED ONE HUNDRED DOLLARS ($100). This section does not limit liability that cannot be limited by law and does not change the terms of any signed funding agreement.

13. Indemnification

You agree to indemnify and hold harmless Frontier Capital from claims, losses, and expenses (including reasonable attorneys' fees) arising from your misuse of the Services, your violation of these Terms, or information you submit that is false or that you were not authorized to provide.

14. Changes and Termination

We may update these Terms from time to time by posting the updated version with a new "Last Updated" date. Your continued use of the Services after an update means you accept it. We may suspend or end access to the Services at any time, subject to any signed funding agreement.

15. Governing Law and Venue

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law rules. Any dispute arising out of or relating to these Terms or the Services, other than a dispute governed by a signed funding agreement, will be brought in the state or federal courts located in Miami-Dade County, Florida, and you consent to their jurisdiction.

16. General

If any provision of these Terms is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. These Terms, the Privacy Policy, and the SMS Messaging Terms are the entire agreement between you and us about the Services, apart from any signed funding agreement.
